Note: These Terms of Service apply to Day Passes, Meeting Room Rentals, and other short-term visitor services. Members are governed by their Membership Agreement.

Welcome to Alkaloid Networks. Our community was created to foster and support a business environment that helps us all work hard and play well together. By using our space, whether as a full-time member, a day-pass user, or a conference room guest, you agree to abide by these terms.

1. Acceptance of Terms

The services Alkaloid Networks LLC (“Alkaloid”) provides to you are subject to the following Terms of Service (“TOS”). Alkaloid reserves the right to update the TOS at any time. We will do our best to notify members of changes, but we encourage you to review this page periodically.

2. Description of Services

Alkaloid provides access to workspace, internet connectivity, conference rooms, phone nooks, office equipment, and a collaborative community (collectively, “Alkaloid Stuff”).

3. Conduct & House Rules

Alkaloid is, first and foremost, a place to work. Behave well and treat others with respect.

• The Golden Rule: Leave any space you use as you found it, or better.
• The Headphone Rule: If someone has headphones on, please respect their privacy. This is our most important rule.
• Noise Levels: Use your “indoor voice.” ‘Nuff said.
• Internet Usage: Be respectful of bandwidth. No BitTorrent, no illegal activity, and no porn. We provide a firewall, but we recommend you maintain your own virus scanning and personal firewalls.
• Harassment: We have ZERO tolerance for harassment of any kind. Violators will be expelled immediately.
• Kitchen & Coffee: If you finish the coffee pot, make a new one. Label your food in the fridge; anything older than one week will be tossed.
• Guests: Guests are welcome for quick meetings or lunch but must adhere to all community rules.
• Prohibited Items: No pets (except service animals), no firearms, no open flames (candles/incense), and no sleeping overnight.

4. Membership & Billing

• Dues: Dues are collected for monthly, quarterly, or annual terms and must be paid upfront.
• Late Fees: Fees are due by the 5th. If not paid by the 10th, a 10% late fee will be applied.
• Notice of Termination: Members must provide a 30-day written notice via email prior to terminating a membership. This must occur no later than the 1st of the month.
• Key Fobs: A $25 refundable deposit is required for each encrypted key fob.

5. Conference Rooms & Day Use

• Reservations: To guarantee a room, you must reserve it. Unscheduled use is limited to one hour if the room is empty.
• Clean Up: Return furniture to its original setup and wipe down dry-erase boards after use.
• Day Passes: Day pass users are subject to the same conduct rules as full-time members.

6. Mail Service

Members using Alkaloid as a business address must complete USPS Form 1583.

• We will act as an agent for receiving mail and reasonably sized packages.
• We cannot accept “Change of Address” requests via the USPS for individual members.
• Upon expiration of your agreement, all mail will be marked “Return to Sender.”

7. Liability & Insurance

Alkaloid is not liable for any lost, stolen, or damaged property. We do not assume liability for injuries to members or their guests. We highly recommend that all members carry a “coworking member” insurance policy or renters insurance to cover their own equipment.

8. COVID-19 & Health

By using the space, you acknowledge the contagious nature of COVID-19 and other contagious illnesses and agree to follow current CDC guidelines and Alkaloid’s safety protocols (e.g., staying home if you have a fever or symptoms). You release Alkaloid Networks LLC from any liability related to exposure.

9. Disclaimers (The Legal Stuff)

ALKALOID PROVIDES THE “ALKALOID STUFF” ON AN “AS IS” BASIS AS A SERVICE AND NOT AS A LEASE OF REAL PROPERTY. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL ALKALOID OR ITS AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR LOSS OF PRIVACY) ARISING OUT OF THE USE OF THE SPACE.

10. Confidentiality

You may be exposed to “Confidences” (business secrets or proprietary info) from other members. You agree to keep this information strictly confidential and acknowledge that it remains the property of the disclosing party.

11. Jurisdiction

Alkaloid is located in Atlanta, GA. You agree that the laws of the State of Georgia govern this agreement, and any disputes will be settled in the courts of Atlanta, GA.
